1. Agreement
These Terms of Service ("Terms") govern your use of goelsolutions.com and any services provided by Goel Solutions ("we", "us", "our") to you ("Client"). By requesting a quote, paying an invoice, or using our services, you agree to these Terms. If you have signed a separate written proposal or agreement with us, it takes precedence wherever it conflicts with these Terms.
2. Services
We provide the following services:
- Website development — custom websites and e-commerce builds.
- AI automation — chatbots, workflow automation and integrations.
- Video production — UGC-style videos, motion graphics and commercial ads, sold as fixed-price packages (see our pricing page).
The exact scope, deliverables, timeline and price of each engagement are set out in the package you select or in the written proposal we send you. Work outside that scope is quoted separately.
AI-assisted production. We use AI tools to help create video, imagery, scripts and code, and our team directs, edits and quality-checks the result. By ordering you accept that deliverables may include AI-assisted content. You are responsible for any disclosure of AI-generated content that applicable law or a platform's rules require when you publish it.
3. Quotes, Payment and Taxes
- Package prices are shown in US dollars. Custom projects are quoted in the currency stated in the proposal.
- Unless the proposal says otherwise, 50% is payable in advance to begin work and the remaining 50% is due before final files are released.
- Payments are processed online through Razorpay or by bank transfer. We do not store your card details.
- Prices exclude any applicable taxes, such as GST, and bank or payment-gateway charges, unless stated otherwise.
- Invoices unpaid 14 days after the due date may pause work until settled.
4. Timelines and Client Responsibilities
Turnaround times shown for each package start once we have received your deposit and all materials we need, such as scripts, brand assets, product samples, logins and content. Delays in feedback or materials extend the timeline accordingly. You are responsible for giving accurate information and timely feedback.
5. Revisions
Each package includes the number of revision rounds listed on our pricing page. A revision round is one consolidated set of change requests to delivered work. Changes that alter the agreed brief or scope, or additional rounds beyond those included, are billed separately.
6. Intellectual Property
- On receipt of full payment, you own the final deliverables created specifically for you. Until full payment is received, we retain all rights in the work.
- We retain ownership of our pre-existing tools, templates, code libraries and methods, and grant you a licence to use them as part of the deliverables.
- Third-party assets such as stock footage, music, fonts and software remain subject to their own licences.
- Unless you ask us in writing not to, we may show the finished work in our portfolio and marketing, without disclosing confidential information.
7. Client Content and Approvals
You confirm that you own or have permission to use all material you give us, including logos, product images, music, testimonials and claims made in marketing content, and that it does not infringe anyone's rights or break any law. You are responsible for reviewing and approving deliverables, including the accuracy of any claims in them, before publishing.
8. Cancellation and Refunds
Cancellations and refunds are handled under our Refund & Cancellation Policy, which forms part of these Terms.
9. Confidentiality and Privacy
We treat non-public information you share with us as confidential and use it only to deliver the services. Personal data is handled as described in our Privacy Policy.
10. Warranties and Liability
We will perform the services with reasonable skill and care. Beyond that, services and deliverables are provided "as is". We do not guarantee specific business results, such as sales, rankings, ad performance or follow-on engagement, because these depend on factors outside our control.
To the maximum extent permitted by law, we are not liable for indirect or consequential losses, including lost profits or data, and our total liability for any claim is limited to the fees you paid us for the services giving rise to the claim.
11. Termination
Either party may end an engagement in writing. Fees for work already completed remain payable, subject to the Refund & Cancellation Policy. We may suspend or end services immediately if you materially breach these Terms or use our work unlawfully.
12. Governing Law
These Terms are governed by the laws of India. Both parties will first try to resolve any dispute in good faith by written discussion. If that fails, the courts of competent jurisdiction in India have exclusive jurisdiction.
13. Changes to These Terms
We may update these Terms from time to time and will change the "last updated" date above when we do. Changes do not affect engagements already agreed in writing.
